United Therapeutics Buys Thymmune in $140 Million Biotech Deal

United Therapeutics has acquired the private biotech firm Thymmune Therapeutics in a cash transaction valued at $140 million. The agreement includes additional performance-based earn-outs of up to $160 million, contingent upon the successful completion of specific clinical and regulatory milestones scheduled through the end of 2031.

The acquisition centers on Thymmune’s regenerative thymic cell therapy platform, which targets immunodeficiencies, autoimmune disorders, and post-transplant organ tolerance. The startup’s most advanced candidate, THY-100, remains in preclinical development for congenital athymia—a condition where infants lack a functional thymus, the organ responsible for maturing T-cells vital to immune health.

United Therapeutics Chief Executive Martine Rothblatt noted that the technology could address the root causes of numerous life-threatening conditions by restoring T-cell receptor diversity. For the acquiring company, the move serves a broader strategic objective: scaling the supply of transplantable organs while bolstering its existing portfolio of immunomodulatory treatments.
