ProLogium Advances SPAC Merger with SEC Filing

Translational Development Acquisition Company has officially moved its merger with ProLogium forward, confirming that the battery developer has submitted its initial F-4 registration statement to the Securities and Exchange Commission. This filing marks a critical milestone in the de-SPAC process initiated by the companies earlier this spring.

ProLogium Advances SPAC Merger with SEC Filing

The F-4 filing serves to provide investors and regulators with a comprehensive history of ProLogium and detailed financial transparency regarding the business combination, which was first announced on May 27, 2026. Michael Hoffman, Chairman and CEO of TDAC, described the submission as a vital resource for stakeholders looking to evaluate the transaction.

While the filing clears a major hurdle, it remains subject to a formal SEC review process and potential revisions. Investors can access the registration materials through the SEC portal or the company's investor relations website as both entities work toward satisfying closing conditions, including a $250 million minimum cash requirement.
