Prosus Sets Terms for Tender Offer on 2027 Notes

Prosus N.V. has finalized the pricing for its cash tender offer regarding all outstanding 4.850% notes due in 2027. The company set a total consideration of $1,002.31 per $1,000 principal amount, moving to consolidate its debt profile ahead of a planned redemption later this summer.

The Amsterdam-based group determined the final pricing at 11:00 a.m. New York time, reflecting a fixed spread of 50 basis points over the U.S. Treasury reference security. Holders who tender their notes by the 5:00 p.m. deadline today will also receive accrued and unpaid interest, with settlement expected to occur on July 16, 2026.

Prosus has already signaled its intent to clear remaining debt not captured by this offer. Having issued a notice of redemption on July 9, the company plans to retire any outstanding 2027 notes on August 10, 2026. This subsequent redemption will be executed at a make-whole price, which may fluctuate compared to the current tender consideration. Investors are directed to the information agent, D.F.
