Specifically, plaintiffs argue the company withheld that its membership growth was unsustainable without a major marketing overhaul and that its Black Card price increase rollout was fundamentally flawed. These omissions allegedly left investors with an inaccurate picture of the company's financial health throughout the class period.

The market reacted sharply on May 7, 2026, when Planet Fitness reported its first-quarter results. The company slashed its same-store growth forecast from 4-5% to 1% and abandoned a three-year growth algorithm presented only six months earlier. Management cited an ineffective marketing campaign and intense external competition as primary drivers for the retreat. Additionally, the company halted its national Black Card price increase to focus on membership acquisition. Following the disclosure, the company's stock price dropped $19.95, or 31.2%, closing at $44.01 per share.
