Trading under the ticker BRTMU, each unit includes a Class A ordinary share and a partial redeemable warrant, with full warrants exercisable at $11.50. The firm has deposited the entire $325 million proceeds into a trust, awaiting a future merger, asset acquisition, or reorganization. While the company retains flexibility to pursue any sector, leadership expects to prioritize technology firms leveraging AI tailwinds where founders David York, Clark N. Callander, and Steven C. Fletcher can apply their specialized expertise.

Citigroup served as the sole book-running manager for the offering, which also includes a 45-day option for the underwriter to purchase an additional 4,875,000 units to manage over-allotments. The company’s board, which features industry veterans including Jeff Clarke and Raymond Bingham, now shifts focus toward identifying a target for its initial business combination following the SEC’s approval of the registration statement on July 20, 2026.
