The litigation centers on claims that Black Rock Coffee Bar (NASDAQ: BRCB) repeatedly promised a "disciplined" growth strategy, assuring investors that opening new locations would result in minimal sales transfer from existing stores. However, the company's Q1 2026 financial results revealed that its aggressive density strategy was actively cannibalizing revenue. Management disclosed that this internal competition created a 160 basis point headwind to same-store sales in key markets like Phoenix.

This disclosure triggered a 30.3% collapse in share price on May 13, 2026. The complaint asserts that the company’s leadership knew or should have known that their expansion model was diverting demand rather than supplementing it, despite public assurances to the contrary. With shares having fallen more than 63% from their $20.00 IPO price to recent lows of $7.65, attorney Joseph E. Levi of Levi & Korsinsky LLP argues that the firm failed to disclose known risks to its projected growth path of 1,000 stores by 2035.
