The delay stems from the extensive workload required to complete the final stages of the audit process with PricewaterhouseCoopers. While the statements remain outstanding, the issuer maintains that the audit work is at an advanced stage and no issues have surfaced that would prevent the final signing of the documents. To secure bondholder approval and waive potential defaults related to the late filing, Dott is offering a cash consent fee of 1.00% of the nominal bond amount, alongside a 3.00% consent premium to be added to existing redemption values.

Dott Seeks Bondholder Approval to Delay Financial Filings
Dott, the micro-mobility operator under TIER Mobility SE, has launched a revised written procedure for its 150 million euro senior secured bond series. The company is requesting an extension to deliver its 2025 audited financial statements until September 30, 2026, citing a need for additional time to finalize audit reviews.

Beyond the timeline extension, the company proposes further modifications to the bond terms, which have already garnered support from holders representing over 50% of the adjusted nominal amount. The voting process, managed by Nordic Trustee & Agency AB, concludes on August 12, 2026. Interested parties registered as bondholders by July 29 will receive notice through Euronext Securities Oslo, with the final results to be published following the close of the voting period.
