Frasers Group Reaches 37.58% Stake in HUGO BOSS Following Offer Period

Frasers Group has secured 5,035,651 shares of HUGO BOSS AG, representing 7.30% of the company's capital, as its voluntary public takeover offer reached the initial closing date of July 27. When combined with its existing holdings, the British retail group now controls 37.58% of the German fashion house.

The takeover bid, which offered shareholders a cash consideration of EUR 38.00 per share, has officially met its primary conditions as of the July 27 reference date. Frasers Group, based in Shirebrook, held 20,897,361 shares prior to the offer period. Including the newly tendered shares, the group's total control over the business—when accounting for additional financial instruments like put options—reaches 67.73% of total voting rights.

While the primary acceptance period has concluded, shareholders who have not yet participated have a two-week window to tender their holdings. This additional acceptance period runs from July 31 to August 13, 2026. The company confirmed that the offer remains subject to the regulatory framework stipulated by the German Securities Acquisition and Takeover Act, with final settlement expected to follow the conclusion of this secondary window.
