Lightspeed Shareholders Approve All Proposals at Annual Meeting

Shareholders of Montreal-based Lightspeed Commerce Inc. moved to approve a full slate of company proposals during the annual and special meeting held July 30, 2026. The votes finalized the election of seven directors and secured support for executive compensation frameworks and updates to the firm's omnibus incentive plan.

The company’s board of directors remains intact following the meeting, with all seven nominees—Manon Brouillette, Dale Murray, Dax Dasilva, Nathalie Gaveau, Glen LeBlanc, Sameer Samat, and Odilon Almeida—receiving strong majorities. Dax Dasilva led the group with 99.79% of the vote. Shareholders also confirmed the appointment of PricewaterhouseCoopers LLP as the company’s auditors, with 99.54% support.

While most measures passed with near-unanimous approval, the resolution regarding the Amended and Restated Omnibus Incentive Plan saw more resistance. Roughly 29.96% of voting shareholders cast ballots against the plan, which extends the incentive term to a tenth anniversary and authorizes new options and entitlements.
