Halper Sadeh Launches Investigations into Arcosa, Crinetics, and Leggett

The New York-based law firm Halper Sadeh LLC has initiated investigations into three high-profile corporate acquisitions, citing concerns over potential breaches of fiduciary duty. Lawyers are scrutinizing whether shareholders in Arcosa, Crinetics Pharmaceuticals, and Leggett & Platt are receiving equitable treatment during their respective transitions to new ownership structures.

The firm is examining the $150.00-per-share sale of Arcosa, Inc. to CRH, alongside the $85.00-per-share all-cash acquisition of Crinetics Pharmaceuticals by Vertex Pharmaceuticals Incorporated. Additionally, investigators are reviewing the deal involving Leggett & Platt, Incorporated, which is set to merge with Somnigroup International Inc. through a stock-for-stock exchange that leaves Leggett & Platt investors with approximately 9% of the combined entity.

Halper Sadeh attorneys argue these transactions may include restrictive terms that discourage superior competing offers or provide insiders with financial advantages unavailable to the broader shareholder base. The firm is currently evaluating whether to pursue increased compensation or additional disclosures for affected investors. These legal reviews are conducted on a contingent fee basis, meaning shareholders face no out-of-pocket costs for the firm's representation in these matters.
