Big Rock Partners Stockholder Settlement Reaches $2.67 Million

A $2.67 million settlement has been reached in a class action lawsuit involving Big Rock Partners Acquisition Corp., providing a potential recovery for stockholders who held shares as of June 8, 2021, but did not redeem them. The Court of Chancery of the State of Delaware is now overseeing the final approval process.

Big Rock Partners Stockholder Settlement Reaches $2.67 Million

The proposed settlement resolves claims against several defendants, including Big Rock Partners Sponsor, LLC, and various former directors and officers. Under the agreement, eligible class members may receive a pro rata distribution from the net settlement fund. To participate, shareholders must submit a completed claim form by November 5, 2026. A final settlement hearing is scheduled for October 5, 2026, before Vice Chancellor Paul A. Fioravanti, Jr., who will determine if the terms are fair and adequate for the class.

Those wishing to challenge the settlement, the allocation plan, or the requested legal fees must file their objections with the Delaware Court of Chancery by September 21, 2026. Claims against defendant Jonathan Javitt are slated for dismissal without prejudice as part of these proceedings.
