The Finnish Financial Supervisory Authority has cleared a supplementary prospectus for WISA Group Plc, marking a critical step in the partial demerger of UPM-Kymmene Corporation. This update incorporates unaudited financial data for the first half of 2026 and provides updated guidance ahead of the company's planned market debut.

The supplement addresses specific carve-out and pro forma financial information for the six-month period ending June 30, 2026, alongside technical adjustments to the listing documentation. Interested parties can access the Finnish-language version and its English translation through the official UPM investor portals starting August 17.

UPM’s Board of Directors has scheduled an Extraordinary General Meeting for August 31, 2026, to finalize the demerger plan. Under this proposal, all assets and liabilities tied to the UPM Plywood business area will transition to the newly formed WISA Group. Pending shareholder approval, the demerger is slated for completion on October 31, with shares expected to begin trading on Nasdaq Helsinki on November 2.
