The class action, spanning from December 10, 2025, to May 27, 2026, alleges that management maintained optimistic financial guidance despite internal knowledge of severe bottlenecks in its design release pipeline. While executives touted robust global demand and steady order patterns, plaintiffs contend that high fab usage rates and rising equipment costs were already undermining the company’s performance.

The discrepancy became public on May 28, 2026, when Photronics disclosed a 11% decline in integrated circuit revenues and compressed operating margins. Management attributed the shortfall to a failed seasonal recovery and operational pressures, but the market reacted aggressively to the news. Photronics shares plummeted 36% in a single session, erasing $1.1 billion in market capitalization. Reed Kathrein, a partner at Hagens Berman, stated the firm is now investigating the timeline of when leadership became aware of the deteriorating demand.
