The offering includes ADSs, each representing 500 ordinary shares, alongside Series A and Series B warrants. These warrants carry exercise prices set at 115% and 125% of the initial offering price, respectively. Their expiration is tied to specific clinical milestones: the Series A warrants expire following the Stage IV triple-negative breast cancer data readout anticipated in late 2027, while the Series B warrants align with the HR+/HER2- data readout expected in the first half of 2028.

Kazia Therapeutics Launches Public Offering to Fund Paxalisib Trials
Sydney-based oncology firm Kazia Therapeutics has initiated a tranched registered public offering of American Depositary Shares and accompanying warrants. The company aims to leverage the capital to accelerate clinical development of its lead drug candidate, paxalisib, across multiple breast cancer indications and other oncology research programs.

Leerink Partners and Guggenheim Securities are serving as joint bookrunning managers for the transaction. Proceeds are earmarked primarily for the advancement of paxalisib, an investigational brain-penetrant inhibitor of the PI3K/Akt/mTOR pathway. Beyond its breast cancer studies, Kazia continues to evaluate the drug for brain metastases and other forms of cancer, supported by previous Orphan Drug and Fast Track designations from the U.S. Food and Drug Administration. The completion of the offering remains subject to prevailing market conditions.
