The legal action, filed by Bleichmar Fonti & Auld LLP on behalf of shareholders, centers on claims that Rackspace obscured the true cost of its AI push. While the company previously touted a partnership with Advanced Micro Devices as a boost to its Private Cloud growth profile, the reality proved costly. On July 9, 2026, the company disclosed it would need to pivot away from certain profitable business areas, forcing a $150 million cut to its full-year revenue guidance and a $25 million reduction in Private Cloud projections.

This disclosure wiped out $2.21 per share in a single day, dropping the stock from $6.58 to $4.37. The complaint, captioned Morgan-Reed v. Rackspace Technology, Inc., asserts violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Shareholders seeking to serve as lead plaintiff in the case must file their motions with the court by September 28, 2026.
