Investors are rallying against UWM Holdings Corporation as a class action lawsuit takes shape following a 34% single-day share price collapse. The legal action targets the company’s failure to disclose massive hedge losses tied to a botched acquisition attempt of Two Harbors Investment Corp., which culminated in shareholder dilution.

The litigation focuses on the period between March 9 and August 5, 2026. According to the complaint, UWM entered into aggressive hedging transactions to support its $1.3 billion bid for Two Harbors. When that deal collapsed in March 2026 after Two Harbors opted for a merger with CrossCountry Mortgage, UWM remained burdened by these speculative hedges. The true extent of the damage surfaced on August 6, 2026, when the firm reported a $603 million hedging loss and a $451 million net loss. Management subsequently admitted to being over-hedged, a revelation that triggered a sharp market sell-off and a 38% drop in total equity.

Reed Kathrein, the Hagens Berman partner leading the investigation, questions why the company failed to unwind these positions months earlier and remained silent regarding the naked hedging risks. With the lead plaintiff deadline set for October 13, 2026, the firm is currently soliciting input from investors who suffered substantial losses. The case highlights broader concerns regarding corporate accountability and the transparency of financial disclosures during high-stakes merger negotiations.
