Kimberly-Clark Cleared for Kenvue Deal After Australian Asset Sale

Australia’s competition regulator has greenlit Kimberly-Clark’s multibillion-dollar acquisition of Kenvue, provided the company sheds its local period-care portfolio. The Australian Competition and Consumer Commission ruled that offloading the Carefree and Stayfree brands is essential to prevent a market monopoly that would have left consumers with only two major suppliers.

The ACCC expressed concern that the original merger would have stifled competition in the regional market by reducing the number of primary period-care providers from three to two. By mandating the sale of these specific assets to an approved buyer, the regulator aims to preserve an independent alternative for local shoppers.

Kimberly-Clark preemptively offered the divestment in July to address potential antitrust hurdles. Commissioner Philip Williams noted that the move ensures the market retains a necessary level of rivalry that the acquisition would have otherwise extinguished.
