The capital raised, alongside funds from a simultaneous private placement, brings $100.5 million into a trust account, providing the financial runway needed to pursue a merger, share exchange, or asset acquisition. Each unit offered consists of an ordinary share and a partial warrant, with full warrants allowing holders to purchase shares at $11.50 once separate trading commences under the symbols TLAC and TLACW.

EarlyBirdCapital, Inc. acted as the sole book-running manager for the offering, which received regulatory approval from the Securities and Exchange Commission on August 31, 2026. The underwriters hold a 45-day option to acquire an additional 1.5 million units to manage over-allotments. While the firm maintains a broad mandate for its future business combination, its leadership, including CFO Harry Brandler, intends to prioritize opportunities in hospitality and property management.
