Activist Investor Radoff-JEC Targets Seer Board Member

With competing buyout offers on the table, activist investor Radoff-JEC has demanded the immediate resignation of Seer board member Meeta Gulyani. The shareholder, which holds a 7.7% stake, claims Gulyani lacks the public board experience necessary to oversee the critical evaluation of acquisition bids for the life sciences firm.

The tension stems from a series of rejected proposals. Radoff-JEC, which has submitted four separate acquisition bids, recently increased its offer to $2.55 a share in cash, supplemented by a contingent value right. The firm alleges that the independent committee responsible for reviewing these offers—of which Gulyani is a member—is fundamentally biased against any transaction.

According to Radoff-JEC, an August meeting between the investor and Seer directors left them convinced the committee was designed to block rather than evaluate potential deals. The firm specifically cited Gulyani’s silence during that discussion as evidence of her lack of engagement. The conflict intensifies as Seer’s own chief executive remains in the race, with both parties currently escalating their financial bids to win over the company.
