The board of National Fuel Gas Company has launched a formal review into splitting its operations into two separate, publicly-traded entities. By October 15, directors expect to conclude whether separating the regulated utility business from its integrated upstream and gathering assets will unlock greater value for the company’s shareholders.

Chief Executive David Bauer pointed to a shifting landscape in capital markets and the evolving operational demands of the energy sector as primary drivers for the evaluation. While the company’s diversified model has historically provided stability, the pending acquisition of an Ohio gas utility provides each segment with enough scale to function as a standalone platform.

Under the proposed structure, the core utility business would remain a fully regulated entity, while the integrated upstream and gathering arm would focus exclusively on Appalachian natural gas. Should the board greenlight the separation, National Fuel intends to distribute shares of the new upstream company to existing investors in a tax-free transaction. This strategic pivot aims to align capital needs and investment profiles more closely with the distinct goals of each segment.
