Central America Bottling Corporation Receives $801 Million in Tenders

Investors have moved to offload more than 72% of the Central America Bottling Corporation’s 2029 sustainability-linked notes, forcing the company to apply a 50% proration factor to the $400 million cash tender offer. The move signals a major shift in the debt profile of the regional beverage giant.

By the September 23 expiration deadline, holders had submitted $801.8 million worth of the 5.250% senior guaranteed notes. Because the company capped the buyback at $400 million, it will accept only half of the tendered debt. Participating investors are set to receive $992.50 per $1,000 of principal, plus accrued interest, with final payments scheduled for October 1, 2026.

The success of this tender remains tied to the company’s concurrent offering of new notes, a condition outlined in the original September 17 purchase agreement. BofA Securities, Citigroup, and J.P. Morgan served as dealer managers for the transaction, while Global Bondholder Services Corporation acted as the information agent. The company, which manages a portfolio including PepsiCo and Ambev brands alongside its wellness line Beliv, has provided no formal recommendation to noteholders regarding the tender.
