The transaction, which closed on September 24, 2026, nets Verdera US$100,000 in cash and 701,754 common shares of Americas Uranium, valued at C$200,000. Under the agreement, Verdera is set to receive an additional C$1.8 million in common shares distributed in staged tranches over the next three years. Beyond the equity and cash components, the company retains a 1.5% net proceeds royalty on uranium and a 1.5% net smelter returns royalty on other minerals extracted from the site.

Verdera Energy Corp. has finalized the sale of its Treeline Uranium Project in New Mexico to Americas Uranium Corp., marking a strategic pivot to concentrate resources on its primary in-situ recovery assets. The deal provides the company with immediate liquidity while maintaining long-term exposure to the project’s future performance.

Americas Uranium holds an option to reduce these royalty interests to 1.0% by paying a C$400,000 fee. Janet Lee-Sheriff, CEO of Verdera, described the divestment as a method to unlock value from non-core exploration holdings. By offloading the Treeline assets, the company aims to sharpen its focus on its core portfolio, which encompasses approximately 400 square miles of private mineral rights and 88 million pounds of uranium resources in the region.
