(NASDAQ: PRTH), specifically the $8.05 per share cash sale to an investor group spearheaded by Chairman and CEO Thomas Priore.

Halper Sadeh alleges that these transactions may include restrictive terms that stifle superior competing offers or provide financial benefits to insiders that are unavailable to the broader shareholder base. The firm is currently evaluating whether to seek increased financial consideration or additional disclosures for investors.
