Nektar Therapeutics Grants Equity Inducements to New Hires

Nektar Therapeutics has issued stock options and restricted stock units to eleven new employees as part of its 2025 Inducement Plan. The grants, finalized on September 18, 2026, serve as a material incentive for the recent additions to the San Francisco-based biotechnology company's workforce.

The Organization and Compensation Committee of Nektar’s Board of Directors authorized 58,600 non-qualified stock options and 2,450 restricted stock units (RSUs). Under the terms of the 2025 Inducement Plan, which aligns with Nasdaq Listing Rule 5635(c)(4), these awards are reserved exclusively for individuals joining the company who were not previously employed by the firm.

The stock options carry an exercise price of $67.10 per share, matching the company's closing price on the grant date. These options feature an eight-year term and a four-year vesting schedule, with one-quarter of the shares vesting after the first year and the remainder accruing monthly. The RSUs follow a similar four-year timeline, with quarterly vesting for the final three years of the period. Both award types remain contingent upon the recipients maintaining active employment with Nektar throughout the vesting process.
