CleanSpark Secures $2.276 Billion via Senior Secured Notes

Las Vegas-based data center developer CleanSpark has finalized a $2.276 billion offering of senior secured notes. The debt, which carries a 7.875% interest rate and is set to mature in 2031, was executed through the company’s wholly owned subsidiary, CSDC Finance I, LLC.

The capital raise underscores the company’s ongoing push to expand its infrastructure footprint. CleanSpark currently manages a portfolio exceeding 1.8 GW of power, land, and data center capacity across the United States. By leveraging competitive energy pricing, the firm aims to monetize high-reliability power to fuel compute production and bolster shareholder returns.

Because the notes were not registered under the Securities Act of 1933, they remain subject to strict transfer restrictions and are available only through applicable exemptions. The company has cautioned that its future performance remains sensitive to market volatility, regulatory shifts, and its ability to execute on strategic initiatives, as detailed in its recent filings with the Securities and Exchange Commission.
