Paramount Skydance Corporation is seeking to raise approximately $44.4 billion through a massive multi-currency debt offering. The capital, structured as senior secured first and second lien notes, is earmarked to fund the company’s acquisition of Warner Bros. Discovery and to satisfy existing debt obligations.

Discovery.

Management emphasized that the completion of these financing rounds is not a strict condition for finalizing the merger itself. The terms of the notes—including interest rates, specific currency denominations, and maturity dates—remain subject to prevailing market conditions. The company cautioned that there is no guarantee these transactions will close on the anticipated timeline, or at all, given the complex regulatory and financial hurdles involved in a deal of this scale.
