Plaintiffs contend that Dick's executives repeatedly assured investors that Foot Locker’s long-standing inventory hurdles were resolved. Instead, the lawsuit claims the subsidiary remained burdened by unproductive legacy footwear, leaving the parent company vulnerable to industry-wide promotional pressures.
The discrepancy surfaced on August 25, 2026, when the retailer reported second-quarter revenue of $1.73 billion from the Foot Locker segment, missing analyst expectations of $1.81 billion. Executive Chairman Edward W. Stack later attributed the shortfall to Foot Locker’s heavy reliance on retro products in an increasingly aggressive market. Following the disclosure, shares plummeted by $55.02, closing at $124.31.
