Tranquil Healthcare Fund Launches $50 Million Regulation A Offering

New York-based Tranquil Healthcare Fund I, LLC has opened a $50 million offering of Class A Preferred Shares to both accredited and non-accredited investors. Qualified by the SEC in June, the capital raise aims to finance the expansion of mental health clinics specializing in Transcranial Magnetic Stimulation therapy nationwide.

The offering, structured as a Tier 2 Regulation A investment, sets a purchase price of $10 per share with a minimum entry threshold of $2,500. Investors committing at least $100,000 are eligible for a 10% bonus in additional shares. The company intends to deploy the net proceeds primarily as secured and unsecured loans to clinic operators, specifically to cover the procurement or leasing of specialized TMS equipment.

Tyler Ehler, CEO of Tranquil Healthcare Holdings, which manages the fund, stated that the initiative is designed to support experienced operators while increasing patient access to evidence-based neuromodulation treatments. TMS therapy, cleared by the FDA in 2008 for major depressive disorder, utilizes targeted magnetic pulses to stimulate brain regions linked to mood regulation.
