MTCM Debuts Dual-Rail Note to Bridge Traditional and Digital Markets

By issuing a single security that exists simultaneously as a traditional ISIN and a digital token, Luxembourg-based MTCM Securitization Architects is attempting to eliminate the divide between legacy finance and blockchain assets. The new Talea DRN structure allows investors to hold identical rights regardless of their preferred settlement rail.

MTCM Debuts Dual-Rail Note to Bridge Traditional and Digital Markets

The Talea DRN—named after the ancient practice of splitting tally sticks to record debt—functions as a unified instrument rather than a synthetic copy. Under this model, arrangers issue one note from a ring-fenced, bankruptcy-remote compartment under Luxembourg law. Because the tokenized version remains fully fungible with the traditional security, holders can transition between formats without altering the note's legal standing or denomination.

MTCM has partnered with Liechtenstein’s Bank Frick to handle digital-asset custody and paying-agent duties. This setup enables issuers to reach institutional clients via Clearstream and Euroclear while simultaneously tapping into digital-native pools of capital that utilize fiat, crypto, or stablecoins for subscription. According to MTCM Group CEO Pedro Herranz, the platform removes the friction of choosing between established settlement systems and the speed of distributed ledger technology. With over €2.5 billion currently under service, MTCM aims to standardize this dual-rail approach as a default for private-market securitization.
