FTAC II Shareholders Reach $59.5 Million Class Action Settlement

Investors who held Foley Trasimene Acquisition Corp. II Class A common stock as of March 23, 2021, are eligible for a share of a $59.5 million settlement. The agreement follows a Delaware Court of Chancery class action lawsuit regarding redemption rights, with a final approval hearing scheduled for December 8, 2026.

The settlement resolves claims against Trasimene Capital FT, LP II, William P. Foley, II, and other named defendants. Under the terms of the agreement, the court-certified class includes individuals who were entitled to redeem their shares but did not do so by the March 23, 2021, deadline. Because the action is classified as a non-opt-out settlement under Delaware law, all eligible class members will be bound by the final judgment once approved.

Vice Chancellor J. Travis Laster will preside over the settlement hearing at the Leonard L. Williams Justice Center in Wilmington. During these proceedings, the court will review the fairness of the proposed allocation plan and address any legal fee applications. Class members wishing to formally object to the terms must ensure their filings are received by the court no later than November 20, 2026.
