A securities class action lawsuit filed in the Southern District of New York alleges that Fluence Energy, Inc. misled investors by failing to disclose critical production delays. The complaint asserts that throughout 2026, the company maintained optimistic guidance while its contract manufacturing capacity remained incomplete and non-operational.

The legal action covers investors who acquired Fluence Energy securities between November 24, 2025, and September 16, 2026. Plaintiffs contend that while the company’s SEC filings repeatedly claimed there were no material changes to risk factors or supply access, these reports omitted the reality that revenue recognition was tied to manufacturing facilities that were not yet capable of meeting projected volumes. The discrepancy surfaced publicly when the company announced that $400 million in project deliveries would be deferred to the 2027 fiscal year.

The resulting financial impact was significant, as the firm’s adjusted EBITDA outlook plummeted from a $50 million profit midpoint to a $200 million loss, while revenue guidance was slashed by $1 billion. Shares of FLNC saw sharp declines of 34.63% on February 5, 7.17% on August 6, and 15.36% on September 17. Investors seeking to serve as lead plaintiff in the case must submit their applications by November 27, 2026.
