Paramount Completes $111 Billion Acquisition of Warner Bros. Discovery

After a grueling bidding war and months of regulatory resistance, Paramount has officially finalized its $111 billion acquisition of Warner Bros. Discovery. The deal, which survived a coalition lawsuit from 12 state attorneys general, marks a seismic shift for Hollywood, combining massive entertainment assets under the newly rebranded Skydance.

The path to acquisition was fraught with financial and political obstacles. While Netflix initially secured a deal for $82.7 billion, Paramount—led by David Ellison with substantial backing from his father, Larry Ellison—ultimately prevailed with a superior $111 billion offer. The transaction assumes Warner Bros. Discovery’s $33 billion debt, supported by $54 billion in financing from firms including Bank of America and Apollo Global Management, alongside $45.7 billion in equity from the Ellison family.

Regulatory scrutiny remained intense throughout the process. A coalition of 11 state attorneys general initially petitioned the Department of Justice to block the merger, citing concerns over market concentration and potential price hikes for consumers. Despite the Department of Justice granting approval in June, a subsequent lawsuit filed by 12 states forced a federal pause. U.S. District Judge Araceli Martínez-Olguín eventually cleared the path for completion in September, allowing the transition to finalize on October 6.

Operational changes are already underway, with the combined entity now operating as Skydance. The merger brings together disparate streaming platforms—Paramount+, HBO Max, and Discovery+—which are slated for future integration. Meanwhile, concerns regarding the new ownership persist, particularly regarding the editorial independence of CNN and CBS News. Critics point to the influence of Larry Ellison, a prominent political donor, and reports of increased scrutiny over news coverage, fueling anxiety among staff members regarding the future of the company's media divisions.
