NACD Unveils New Governance Framework to Sharpen Board Oversight

Seventy percent of public company directors report that strategy discussions now dominate their boardrooms, yet increased frequency does not guarantee effective oversight. To address the volatility of modern business cycles, the National Association of Corporate Directors today released a new framework designed to help boards monitor execution without micromanaging executive teams.

NACD Unveils New Governance Framework to Sharpen Board Oversight

The report, titled Board Oversight of Strategy Execution, introduces the Align-Monitor-Calibrate model. This structured approach aims to replace traditional, backward-looking metrics with a real-time system for identifying strategic inflection points. By establishing shared expectations upfront, directors can better distinguish between routine management and situations that require active board intervention.

Commission cochair Dorlisa K. Flur noted that the natural instinct for directors is to lean into operational details when signals shift, but the goal is intentional engagement rather than increased volume. The framework helps boards agree on specific triggers that warrant deeper scrutiny, ensuring they provide support during turbulence without usurping the CEO's authority. Jay D. Miller, who cochaired the commission, emphasized that the strongest boards are defined by steady attention and early course corrections rather than reactive, bold interventions. The guidance, developed with contributors including KPMG and Sidley Austin, provides a repeatable method for boards to maintain clarity on their specific oversight responsibilities.
