Brookdale Senior Living Expands Property Ownership in Welltower Deal

Brookdale Senior Living is accelerating its shift toward property ownership, finalizing the purchase of 17 senior housing communities while securing a deal to acquire 30 additional leased sites from Welltower. The transactions aim to reduce long-term rent obligations and provide the operator with greater flexibility over its real estate portfolio.

The company completed its $157 million acquisition of 17 communities on September 30, adding 735 units across Colorado, Kansas, Ohio, and Texas. This move eliminates approximately $11 million in annual cash rent for 2027 and pushes Brookdale’s owned portfolio to roughly 77% of its total consolidated units. The acquisition was financed through cash on hand and $108 million in non-recourse mortgage debt.

Building on this momentum, Brookdale signed an agreement to acquire 30 more communities from Welltower for $290 million. Expected to close in the fourth quarter of 2026, this secondary deal covers 1,152 units and is projected to cut annual rent payments by another $17.8 million. CEO Nick Stengle noted that these steps are designed to capture future operating growth while strengthening the company's balance sheet.

As part of the Welltower agreement, the two firms will amend a lease for 39 additional communities, extending the term to June 2036. This amendment provides Brookdale with a significant strategic advantage: the right to exercise a fair market value purchase option at any time, rather than waiting until the lease maturity. This flexibility, subject to a pre-negotiated yield floor, marks a shift in Brookdale’s management of its remaining leased assets.
