Each unit is priced at $10.00 and includes one Class A ordinary share alongside a warrant exercisable at $11.50. Once separate trading commences, shares will trade as HRIA and warrants as HRIAW. The company has also granted underwriters a 45-day option to purchase an additional 1.5 million units to cover potential over-allotments, with the offering slated to close on October 15.

Led by CEO and Chairman McAndrew Rudisill and CFO Samuel Knipper, the firm is structured as a blank check entity targeting mergers or asset acquisitions. While the company maintains flexibility regarding geography and industry, management plans to prioritize businesses in industrial materials, semiconductor equipment, robotics, and aerospace. Clear Street LLC is serving as the sole book-running manager for the transaction, which follows a registration statement that became effective with the SEC on October 13.
