Investors Face November Deadline in AST SpaceMobile Class Action

A securities class action lawsuit against AST SpaceMobile, Inc. is moving forward, with a court-mandated deadline of November 13, 2026, for investors to seek lead plaintiff status. The litigation targets alleged misrepresentations regarding the company’s liquidity and capital requirements during a volatile 16-month period.

Investors Face November Deadline in AST SpaceMobile Class Action

The complaint, filed in the U.S. District Court for the Western District of Texas, centers on shareholders who purchased ASTS securities between March 4, 2025, and July 15, 2026. Plaintiffs contend that while SEC filings repeatedly assured investors that cash on hand would be sufficient for the coming year, the company concurrently initiated three separate $1 billion convertible note offerings within nine months. This aggressive capital raising, coupled with undisclosed challenges in user adoption across U.S. and Japanese markets, allegedly misled the market about the firm’s financial stability.

The discrepancy between public assurances and subsequent debt maneuvers triggered significant market reactions. On September 8, 2025, the stock fell nearly 9.5%, and by July 16, 2026, shares dropped another 17% following the announcement of the third note offering. Joseph E. Levi, the attorney representing the class, argues that generic risk disclosures cannot serve as a shield for specific, known operational problems that were omitted from financial statements. Investors who suffered losses during this window are eligible to participate, regardless of whether they still hold their shares.
