GoPro Revises Financial Statements Following Accounting Oversight

A $285 million merger with Starman Optical has hit a bureaucratic hurdle after GoPro uncovered significant accounting errors within its financial records. The discrepancies, revealed in a Friday SEC filing, stemmed from the misclassification of warrants issued to Mateo Financing and the incorrect recording of long-term debt.

The company identified an $8.1 million error during the preparation of merger-related proxy materials. Specifically, warrant liability had been understated by that amount, while long-term debt was overstated by the same figure. GoPro attributed these mistakes to a material weakness in its internal financial reporting controls and committed to issuing a formal update on its corrective measures.

These adjustments shifted the company’s bottom line across multiple periods. The first-quarter loss was narrowed to $76.3 million, or 47 cents per share, down from the previously reported $80.8 million. Conversely, the second-quarter loss was revised upward by $200,000 to reach $51.2 million. For the full year of 2025, the net loss was adjusted to $92.6 million, or 58 cents a share. Despite these revisions, the company confirmed that its revenue, operating cash flow, and profit margins remain unaffected by the restatement.
