Under the terms of the agreement, Commercial shareholders will receive 0.8798 shares of Renasant common stock for each share held, amounting to roughly 2.64 million shares in total. Before the merger finalizes, Commercial will distribute a special cash dividend of about $35.7 million to its shareholders. Both boards of directors have unanimously approved the terms, with the transaction expected to close in the first quarter of 2027.

Commercial Holding acts as the parent of Commercial Bank & Trust Co., which manages nine branches across Tennessee. Financial disclosures from September 30 show the bank held $1.1 billion in assets, $648 million in loans, and $983 million in deposits. Renasant, which already maintains 278 offices across the Southeast, plans to integrate these operations into its existing network of banking, mortgage, and wealth management services.
