Karyopharm Therapeutics Files for Chapter 11 Amid Merger Plan

Shares of Karyopharm Therapeutics plummeted 84% to 11 cents as the cancer-focused drug developer initiated bankruptcy proceedings. The company, which had warned of insolvency risks as early as September, now plans to navigate a court-supervised sale while securing $55 million in debtor-in-possession financing from its existing lenders.

Karyopharm Therapeutics Files for Chapter 11 Amid Merger Plan

Under the terms of a restructuring support agreement, Ayrmid Ltd. will serve as the lead bidder for the company’s assets. Ayrmid, the parent entity of cell-therapy firm Gamida Cell Inc., intends to absorb Karyopharm into its operations. Despite the legal filing, Karyopharm management stated the firm will maintain ordinary business activities throughout the transition.

The collapse follows a period of acute liquidity pressure. In September, the company explicitly disclosed that its cash runway would expire by October 15, leaving it unable to continue as a going concern without a strategic transaction or an injection of capital. This restructuring deal aims to resolve those funding gaps by leveraging support from current noteholders and key stakeholders.
