Under the terms of the acquisition, AbbVie will pay $135.11 per share for all outstanding Apogee stock. The move is designed to bolster AbbVie’s existing immunology portfolio by integrating Apogee’s advanced monoclonal antibodies, specifically the IL-13-targeting zumilokibart (APG777) and the combination therapy APG273. These candidates are currently being positioned to address significant gaps in patient care, such as the need for less frequent dosing and improved skin clearance in inflammatory conditions.

AbbVie to Acquire Apogee Therapeutics for $10.9 Billion
AbbVie has reached a definitive agreement to acquire Apogee Therapeutics, a clinical-stage biotechnology firm, in an all-cash transaction valued at approximately $10.9 billion. The deal grants the pharmaceutical giant control over a diverse pipeline of immunological assets, including late-stage treatments for atopic dermatitis and asthma.

Robert A. Michael, chairman and CEO of AbbVie, stated that the acquisition aligns with the company’s long-term strategy to expand its clinical footprint in respiratory medicine. Apogee CEO Michael Henderson noted that the transaction provides a pathway for the company's research to reach its full potential under a larger organization. The deal, which has received unanimous approval from the boards of both companies, is expected to close in the third quarter of 2026, pending regulatory and shareholder approval. Financial projections indicate the transaction will be accretive to AbbVie's adjusted diluted earnings per share starting in 2032.
