The Institute for Portfolio Alternatives is calling on the SEC to establish a unified national review process for registered public offerings, aiming to eliminate a redundant layer of state-level oversight that currently forces issuers to navigate 53 separate jurisdictions before reaching individual investors nationwide.

The current framework mandates that registered unlisted real estate investment trusts and business development companies endure duplicative state merit reviews, despite already meeting federal disclosure standards. Anya Coverman, CEO of the IPA, argues that this outdated gap forces sponsors to choose between costly, slow public registration or shifting strategies into private placements. By moving toward private channels, issuers often bypass the transparency and reporting requirements inherent in public offerings, effectively walling off individual investors from alternative assets.

The IPA proposal seeks to treat these offerings similarly to other nationally distributed securities, ensuring they fall under a single federal registration path. Supporters of the change emphasize that federal disclosure requirements, securities-law liability, and state antifraud authorities would remain fully intact, preserving investor protections while removing the administrative friction that currently hampers market access.
